Terms
(Name) Article 1
The name of this organization shall be HERO Z.CAPITAl PROJECT (hereinafter referred to as "the Organization").
(Philosophy of the Organization) Article 2
The Organization, grounded in the principles of "love," "friendship," and "affection," aspires to become an Advantage Player Organization that shares "wealth" and "assets" through voluntary and mutual relationships of affection, formed around common values and goals, in accordance with the form of love especially emphasized in Aristotelian logic, and does so without the need for legal constraints, while mandating social contribution as a core obligation.
(Purpose) Article 3
The Organization is a voluntary association, and based on the philosophy of coexistence, co-prosperity, co-living, mutual benefit, and empathy, it creates asset formation through Dealing (investment) specialized in Baccarat (market) to survive in the future society. It develops special casino economic activities centered on social contribution through sustainable global-scale casino international finance. Furthermore, through activities such as the HERO International Fund via the world digital wallet, it aims to contribute to the prosperity of world peace. It is a special voluntary organization of advantage players operating in 140 gaming-operating countries worldwide, centered in the Macao Special Administrative Region.
(Principal Office, etc.) Article 4
The headquarters office of the Organization (hereinafter referred to as "the Headquarters") shall be established in Macao, and branches may be established as necessary. (However, the principal location shall not be disclosed under any circumstances.)
(Activities) Article 5
In order to achieve the purpose stated in the preceding article, the following activities shall be carried out.
① Research, guidance, and practical activities related to future financial and economic activities through new gaming-based international finance.
② Research, development, implementation, and management of a members-only digital wallet payment system.
③ Development, guidance, and practical activities for members-only Baccarat Dealing.
④ Promotion, investment, and practical activities for social contribution projects through the HERO International Fund.
⑤ All businesses incidental or related to each of the above items.
(Membership Qualification) Article 6
An individual shall become a member upon agreeing with the objectives of the organization, submitting a membership application form, and obtaining approval from the Chairman.
(Burden of Expenses, etc.) Article 7
The executives and members must pay the admission fee and event participation fee in proportion, in order to achieve the purpose of this organization. In addition, they must donate the amount separately designated by the organization to the HERO International Fund.
(Loss of Membership) Article 8
If a member damages the reputation of the Organization, acts against its purpose, or violates their obligations as a member—constituting a just cause—the member may be expelled or required to withdraw at the discretion of the President.
Additionally, membership shall be lost in the event of any of the following:
1. When the member voluntarily withdraws.
2. Upon death or declaration of disappearance.
3. When annual membership fees are in arrears.
4. When the member is expelled.
5. When any connection with organized crime groups, their affiliates, associates, or antisocial forces is discovered.
6. When the rules of the Organization are ignored or not followed.
7. When deemed inappropriate as a member of the Organization.
(Officers) Article 9
The Organization shall appoint one President, one Vice President, one Auditor, and three Executive Directors. (Additional necessary officers and positions may be appointed by the President.)
(Duties and Authority of the Auditor) Article 10
The Auditor shall audit the execution of duties by the officers, prepare an audit report, may request reports on operations from officers and employees, and may investigate the status of the Organization’s operations and assets.
(Resignation and Dismissal) Article 11
Officers may resign or be dismissed. However, dismissal of an officer must be carried out based on the approval of the President.
(Compensation and Expenses) Article 12
All rewards, expenses, and related matters shall be determined with the approval of the Chairman. (Members are required to contribute a portion of their profits from standard Dealings to the HERO International Fund.)
(Restrictions on Transactions) Article 13
When an officer intends to engage in any of the following transactions, they must disclose material facts regarding the transaction and obtain the approval of the President.
・Transactions that fall within the scope of the Organization’s activities conducted for themselves or for a third party.
・Transactions with the Organization conducted for themselves or for a third party.
・Transactions in which the Organization guarantees the officer’s debt, or other transactions with a non-officer in which the interests of the Organization and the officer conflict.
(Activity Plan and Budget) Article 14
Documents stating the Organization’s activity plan, income and expenditure budget, funding prospects, and capital investment plans must be prepared by the Auditor and approved by the President by the day before the start of each fiscal year. (The same shall apply in the case of any changes thereto.)
(Initial Fiscal Year) Article 15
The initial fiscal year of the Organization shall be from the date of its establishment until December 31, 2015.
(Confidentiality) Article 16
All officers, members, and related parties shall not, under any circumstances, disclose the Organization’s purpose, activities, or any other content to any third party, including family members and relatives.
Anyone determined to have disclosed such information shall accept any and all legal actions from the Organization, including claims for damages, and shall be obligated to compensate for all losses incurred.
(Compliance with Laws and Regulations) Article 17
Matters not stipulated in these Articles of Incorporation shall be governed by the laws and instructions established by the President.
