HERO Z.CAPITAl PROJECT
Terms
(Name) Article 1
The name of the organization shall be HERO Z.CAPITAl PROJECT (hereinafter, the "Organization").
(Philosophy of the Organization)Article 2
The Organization, grounded in “love,” “friendship,” and “affection,” and, in the form of love particularly emphasized in Aristotle’s logic, established around shared values and goals, aims to be an organization that, through voluntary and reciprocal relationships of affection that do not require legal constraints, shares “wealth” and “property” and mandates social contribution.
(Purpose)Article 3
The Organization is a voluntary association that, based on the principles of coexistence, co-prosperity, symbiosis, mutual benefit, and empathy, builds assets through asset-preservation investments specialized for business to survive in future society, and develops special economic activities centered on social contribution through a sustainable global-scale digital energy gaming finance business. In addition, it is a special voluntary organization that aims to contribute to the prosperity of world peace through activities such as the HERO International Foundation via a members-only global digital wallet.
(Principal Office, etc.)Article 4
The headquarters office of the Organization (hereinafter, the “Headquarters”) shall be established in the Republic of Seychelles, and branches shall be established as necessary. (However, the principal location shall not be disclosed under any circumstances.)
(Activities)Article 5
To achieve the purpose of the preceding article, the Organization shall conduct the following activities. ① Research, guidance, and practical activities related to future financial and economic activities through a new international digital energy gaming finance. ② Research, development, implementation, and management operations of a members-only digital wallet settlement system. ③ Training, guidance, and practical activities for members-only Baccarat Dealing. ④ Promotion, investment, and practical activities of social contribution projects by the HERO International Foundation. ⑤ Research, development, promotion, and practical activities of the ultimate next-generation energy services using next-generation power generation methods.
⑥ All businesses incidental and related to each of the preceding items.
(Acquisition of Membership Qualification)Article 6
A person who agrees with the purpose of the Organization, submits a membership application, and obtains the President’s approval shall become a member.
(Burden of Expenses, etc.)Article 7
Officers and members shall pay the admission fee and event participation costs in proportion to achieve the Organization’s purpose. They shall also donate the amount separately specified by the Organization to the HERO International Foundation.
(Loss of Membership Qualification)Article 8
When a member defames the honor of the Organization, acts contrary to the Organization’s purpose, or violates obligations as a member, or when other justifiable grounds exist, the President may expel or accept the resignation of the member. In addition, in the following cases, the member shall lose membership qualification. 1. Upon resignation. 2. Upon death or receipt of a declaration of disappearance. 3. Upon nonpayment of the annual membership fee. 4. Upon expulsion. 5. When connections with organized crime groups, their associates, related persons, or other anti-social forces are discovered. 6. When ignoring or failing to comply with the Organization’s rules. 7. When judged to be unsuitable for the Organization.
(Officers)Article 9
The Organization shall have one President, one Vice President, one Auditor, and three Managers. (Other necessary officers and positions may be established by appointment of the President.)
(Duties and Authority of the Auditor)Article 10
The Auditor shall audit the execution of duties by officers, prepare audit reports, may request business reports from officers and employees, and may investigate the Organization’s operations and the status of its property.
(Resignation and Dismissal)Article 11
Officers may resign or be dismissed. However, dismissal of an officer must be carried out based on the President’s approval.
(Compensation and Expenses, etc.)Article 12
All compensation and expenses shall be determined with the President’s approval. (Members must pay a portion of the basic profits to the HERO International Foundation.)
(Restrictions on Transactions)Article 13
When an officer intends to engage in any of the following transactions, the officer must disclose important facts about the transaction and obtain the President’s approval. 1. Transactions belonging to the category of the Organization’s activities for the officer’s own benefit or for a third party. 2. Transactions with the Organization for the officer’s own benefit or for a third party. 3. The Organization guaranteeing the officer’s obligations, or other transactions in which the interests of the Organization and those of the officer conflict in dealings with persons other than officers.
(Activity Plan and Budget of Revenues and Expenditures)Article 14
Documents stating the Organization’s activity plan, the statement of budget for revenues and expenditures, and the prospects for financing and capital investment shall be prepared by the Auditor and approved by the President by the day before the start of each fiscal year. (The same shall apply to any changes.)
(First Activity Year)Article 15
The Organization’s first activity year upon establishment shall be from the date of establishment to December 31, 2015.
(Confidentiality)Article 16
All officers, members, and related persons must not disclose to any third party, including family and relatives, any content whatsoever regarding the Organization’s purpose, activities, or any other matters. Any person judged to have leaked information agrees to accept any legal measures from the Organization, including claims for damages, and undertakes to compensate all damages incurred.
(Compliance with Laws and Regulations)Article 17
Matters not provided for in these Articles shall be subject to the laws and instructions established by the President.
